Angel City FC x Charlotte’s Web™ (ReCreate™) Sweepstakes Official Rules

By entering this Angel City FC x Charlotte’s Web (ReCreate) Sweepstakes (this “Sweepstakes”), you agree to be bound by these official rules (these “Official Rules”) and all decisions of Angel City FC, LLC (“Angel City” or “Sponsor”) with respect to this Sweepstakes, which will be final and binding:

1. SWEEPSTAKES PERIOD: This Sweepstakes will start at 12:01 am Pacific Time on December 18, 2023 and end at 11:59 p.m. Pacific Time on January 3, 2024 (the “Sweepstakes Period”).
2. ELIGIBILITY: You must be eighteen (18) years or older and a legal resident of the fifty (50) United States or the District of Columbia to enter, and you must not be an employee of Angel City, Charlotte’s Web, Inc. or any of their respective parent companies, affiliates, distributors, subsidiaries, advertising or promotion agencies (a “Related Party Employee”) or an immediate family member (i.e., spouses, parents, children, and siblings and their respective spouses) of, or an individual living in the same household as, a Related Party Employee.
3. HOW TO ENTER: To enter, a potential entrant must complete an entry form available at https://angelcityfc.formstack.com/forms/sweepstakes_charlottesweb to receive one (1) entry. Limit one (1) entry per person, regardless of the number of purchases made or email addresses used, during the Sweepstakes Period. Additional entries received from any person or email address during the Sweepstakes Period will be void. Each month during the Sweepstakes Period will have a separate entry period. Entries must be received no later than 11:59 p.m. Pacific Time on the last day of the respective month during the Sweepstakes Period to be eligible. Sponsor is not responsible for any failure to receive an entry due to any reason, including, without limitation, any transmission or technical error of any kind.
4. SELECTION OF POTENTIAL WINNERS: On or about January 4, one (1) winner will be selected at random from eligible entries for that time frame, for a total of one (1) winner during the Sweepstakes Period. Each potential winner will be notified by a phone call or email. If a potential winner does not respond within forty-eight (48) hours of Angel City’s first attempted notification, or the applicable phone number is out of service and/or the applicable email is returned as undeliverable, an alternate potential winner will be selected at random from the remaining eligible entries. Each potential winner may be required to provide additional information to verify such potential winner’s eligibility for a Prize (as defined below). Potential winners must execute and return an Affidavit of Eligibility, Liability Release, and where lawful, a Publicity Release within ten (10) days of first attempted notification, failing which the potential winner(s) will be disqualified and another winner selected in the place of the disqualified person at random from all remaining eligible entries. In the event of a dispute regarding the winner, the person assigned to the email account used to submit the entry will be deemed the winner. Odds of winning depend on the number of eligible entries received.
5. PRIZES: The winner will receive (1) holiday bundle that will include the following: (1) ReCreate Endurance Gummies 30 count jar, (1) ReCreate Brain Support Gummies 30 count jar, (1) ReCreate Muscle Recovery Gummies 30 count jar, (1) ReCreate Rest Gummies 30 count jar, (1) ReCreate Endurance Gummies 60 count jar, (1) ReCreate Brain Support Gummies 60 count jar, (1) ReCreate Muscle Recovery Gummies 60 count jar, (1) ReCreate Rest Gummies 60 count jar, and (1) team autographed Angel City FC Represent Jersey  [Total approximate retail value of $1,070] (a “Prize”). For clarity, there will be a total Prize and the total aggregate approximate retail value of the Prizes is $1,070. No Prize is transferable or redeemable for cash or for any other product of service; there are no Prize substitutions except in the sole and absolute discretion of Sponsor. Sponsor will not replace any lost or stolen Prize (and has no obligation to do so). In the case of unavailability of any Prize, Sponsor reserves the right in its sole and absolute discretion to substitute any Prize with a prize of equal or greater value. The winner of any Prize will be responsible for all taxes, expenses, costs, fees, and surcharges incurred in connection with the winning of such Prize. If required by law, Sponsor will issue a Form 1099-MISC to a Prize winner for reporting the taxable retail value of the applicable Prize. Each potential winner should consult a qualified tax advisor about the tax implications of winning their respective Prize.

BY PARTICIPATING IN THIS SWEEPSTAKES, YOU ACKNOWLEDGE, AGREE AND CONSENT TO THE TERMS OF SERVICE LOCATED AT https://angelcity.com/policies/terms-of-service AND PRIVACY POLICY LOCATED AT https://www.angelcity.com/policies/privacy-policy, AND AGREE THAT YOUR PARTICIPATION IN THIS SWEEPSTAKES IS SUBJECT TO THESE TERMS OF SERVICE PRIVACY POLICY, AND ALL APPLICABLE LAWS, RULES AND REGULATIONS. YOU UNDERSTAND THAT, BY PARTICIPATING IN THIS SWEEPSTAKES, SPONSOR MAY COLLECT INFORMATION FROM YOU THAT IDENTIFIES, RELATES TO, DESCRIBES OR CAN BE REASONABLY LINKED TO YOU (WHETHER DIRECTLY OR INDIRECTLY). TO THE EXTENT THAT THE TERMS AND CONDITIONS OF THESE OFFICIAL RULES CONFLICT WITH THE TERMS AND CONDITIONS OF THE TERMS OF SERVICE OR THE PRIVACY POLICY, THESE OFFICIAL RULES SHALL CONTROL.
7. INDEMNITY & RELEASE: By participating in this Sweepstakes: (a) YOU agree to indemnify, release and hold harmless Sponsor, Charlotte’s Web (ReCreate), national women’s soccer league, llc AND EACH OF THEIR RESPECTIVE affiliates, subsidiaries, successors AND assigns AND EACH OF THEIR RESPECTIVE EQUITYHOLDERS, officers, directors, MANAGERS, employees, AGENTS AND REPRESENTATIVES (COLLECTIVELY, THE “Sponsor Parties”) from and against any and all injuries, losses, damages, claims, and actions of any kind arising from or relating to any breach of these Official Rules by YOU, your violation of any law or of any rights of any third party, participation in this Sweepstakes, acceptance, possession, use, misuse, or nonuse of the Prize that may be awarded, Prize-related travel or activities (if any), including, without limitation, actual, direct, indirect, consequential, punitive, special or other damages; and (b) except where prohibited by law, you grant THE Sponsor Parties the worldwide, non-exclusive right to reproduce, display, modify, distribute, and perform YOUR Entry and use your name and likeness for advertising and publicity purposes, in any and all media or formats, whether now known or hereafter developed, without additional compensation or right of review or approval. CAUTION: Any attempt by or on behalf of any entrant to deliberately damage the website or social media account(s) of any of the Sponsor Parties, or undermine the legitimate operation of this Sweepstakes, may be a violation of APPLICABLE criminal and civil laws. Should such an attempt be made, Sponsor reserves the right to seek damages from such entrant to the fullest extent permitted by law and to disqualify such entrant from this Sweepstakes.
8. DISQUALIFICATION: If an entrant or potential winner is found to be ineligible, or if an entrant or potential winner does not comply with these Official Rules, then such entrant or potential winner may be disqualified in Sponsor’s sole and absolute discretion. In the event an entrant or potential winner is deemed ineligible or disqualified for any reason, then an alternate winner will be selected from remaining eligible entries via a random drawing.
9. LIMITATION OF LIABILITY: In no event will ANY OF THE sponsor parties be responsible or liable for any damages or losses of any kind, including, without limitation, actual, direct, indirect, consequential, punitive, special or other damages ARISING OUT OF YOUR ACCESS TO, USE OF, or downloading from and/or printing material downloaded from the website of any of the sponsor parties or any other website associated with this sweepstakes. the Sponsor Parties are not responsible for lost, interrupted or unavailable network server or other connections; miscommunications; failed phone or computer or telephone transmissions; technical failure; jumbled, scrambled or misdirected transmissions; late, lost, incomplete, delayed, or misdirected entries; or any other error of any kind whether human, mechanical, or electronic; or for any damage, loss or injury arising from participation in this Sweepstakes or use of ANY Prize AWARDED. without limiting the foregoing, the Sweepstakes prizes are provided “as is” without warranty of any kind, either express or implied, including the implied warranties of merchantability, fitness for a particular purpose or non-infringement. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES. 10. GENERAL TERMS: If, for any reason, this Sweepstakes is not capable of running as planned, including, without limitation, due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the reasonable control of the Sponsor Parties, which, in Sponsor’s sole determination, corrupts or affects the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sponsor reserves the right to delay, cancel or modify this Sweepstakes or any part of this Sweepstakes, including the timeline for entry and determining the winners. If this Sweepstakes or any part of this Sweepstakes is terminated or modified prior to the conclusion of the Sweepstakes Period, notice will be posted on angelcity.com/sweepstakes.
11. GOVERNING LAW: This Sweepstakes is governed by the Laws of the State of California, without regard to its choice of law principles. This Sweepstakes is subject to all applicable federal, state and local laws and regulations and is void wherever prohibited by law and every state except for California. Each entrant agrees that any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any Prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the courts in Los Angeles County, State of California, United States of America.

(“Charlotte’s Web”) is not a sponsor of this Sweepstakes, and is in no way responsible for the administration of this Sweepstakes, the verification of winners or the fulfillment of prizing. Charlotte’s Web and any of its parents, subsidiaries, affiliates, directors, officers, shareholders and agents and each of them are completely released of all liability by each entrant in this Sweepstakes. All inquiries regarding this Sweepstakes should be directed to the Sponsor and not to Charlotte’s Web.
